Effect Of Merger And Acquisition On Shareholders Wealth And Profitability Of The Manufacturing Firms In Nigeria (A Study Of Selected Firms In Nigeria)
ABSTRACT
The responsibility of growing a business is vested in the management
of a business enterprise it is only when a business enterprise grows its profit
that the wealth of the shareholders. In a bid to meet the responsibility of
growing the business the management of a company may embark on
business combination.
Business combination is "an arrangement where two or more business
owned and operated as separate entities join together to become a single
entity tinder a sight ownership. The implication of this is that the separate
business will discount their ownership and come under a single ownership"
(I CAN STUDY PACK 2006). Business combination can take different
firms the prominent of then being mergers and acquisition.
Mike (2004) defined merger as the coming together of two or more
existing companies to form one company. lie further explained that in the
process the companies may cease to exist as separate units. All well (2001)
on the other the hand said" a merger is basically a combination of two or
more companies in which all but one of the combining companies legally
exist and the surviving company continues to operate in the original names
the merging company goes out of business leaving its assets and liabilities to
the acquiring company. It could also be a combination of there the two
merging. It could also be a combination of there the two merging companies
are brought under one management but they maintain a combination of their
original names".
